Terms of Service

1. Introduction

Welcome to SomaLabs. These Terms of Service ("Terms") govern your access to and use of the SomaLabs website, applications, and AI image generation services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current.

4. Service Description

SomaLabs provides AI-powered image and video generation services that allow users to create digital content using artificial intelligence models. The Service includes:

  • Text-to-image and image-to-image generation
  • Text-to-video and image-to-video generation
  • Character creation and management
  • AI-powered image analysis and prompt optimization
  • Social media content generation
  • API access for programmatic generation

The Service operates on a credit-based system. Credits are required to generate content and access certain features. Credit costs vary based on the model, resolution, duration, and features used.

5. Acceptable Use Policy

You agree not to use the Service to create, upload, or share content that:

  • Depicts minors in any sexual, suggestive, or exploitative manner
  • Constitutes or promotes child sexual abuse material (CSAM)
  • Depicts non-consensual sexual acts or violence
  • Promotes terrorism, violence, or illegal activities
  • Infringes on intellectual property rights of others
  • Impersonates real individuals without their consent
  • Contains malware, viruses, or harmful code
  • Violates any applicable laws or regulations

5.1 Reference Image Restrictions

When uploading reference images for character creation or generation, you agree that:

  • You own the rights to or have permission to use any images you upload
  • You will not upload images of real people without their explicit consent for the purpose of generating intimate or sexual content
  • You will not upload images containing minors for any purpose
  • Reference images are subject to the same Acceptable Use Policy as generated content

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts of users who repeatedly violate the Acceptable Use Policy.

6. Content Moderation

We use automated content filtering and AI-powered moderation systems to enforce our Acceptable Use Policy. This includes:

  • Text analysis of prompts before generation to detect prohibited content
  • AI vision analysis of generated images before they are stored or displayed
  • Keyword and pattern-based content filtering

Content that violates our policies may be automatically blocked. When a generation is blocked by our moderation systems, credits used for that generation are automatically refunded.

Repeated policy violations may result in account warnings, temporary suspension, or permanent termination at our discretion.

Child Sexual Abuse Material (CSAM): Any content identified as depicting, promoting, or facilitating the sexual exploitation of minors will result in immediate and permanent account termination. In accordance with federal law (18 U.S.C. 2258A), we are required to report such content to the National Center for Missing & Exploited Children (NCMEC), which may forward reports to law enforcement. All relevant account data and content will be preserved and included in such reports.

7. API Usage Terms

API keys grant programmatic access to certain Service features. When using the API, you agree to:

  • Keep your API keys secure and confidential
  • Accept responsibility for all activity performed with your API keys
  • Comply with the same Acceptable Use Policy as web-based usage
  • Respect rate limits applicable to your subscription tier
  • Not share, resell, or redistribute API access to third parties

We reserve the right to revoke API keys and terminate accounts for API abuse, excessive usage beyond rate limits, or policy violations conducted through the API.

8. Content Ownership and Licensing

8.1 Your Content

You retain ownership of any input you provide to the Service, including text prompts and uploaded images. By using the Service, you grant us a limited, non-exclusive license to process your input solely for the purpose of providing the Service.

8.2 Generated Content

Subject to these Terms and your compliance with applicable laws, you own the images and videos generated through the Service using your account. You may use generated content for personal and commercial purposes, subject to:

  • Compliance with all applicable laws and regulations
  • Not using generated content to harm or deceive others
  • Acknowledging AI generation where legally required

8.3 Our Rights

We retain all rights to the Service, including the underlying AI models, software, and technology. We may use anonymized and aggregated data to improve our services.

9. Payment Terms

9.1 Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew unless you cancel before the renewal date.

9.2 Credit Purchases

Credits purchased through one-time payments do not expire and remain available in your account until used. Credits are non-transferable between accounts.

9.3 Refunds

Due to the nature of digital services, we generally do not offer refunds for used credits or partially used subscription periods. Refund requests may be considered on a case-by-case basis for technical issues that prevented use of the Service.

Content Moderation Refunds: If a generation is automatically blocked by our content moderation systems, the credits reserved for that generation are automatically refunded to your account.

9.4 Price Changes

We reserve the right to change our pricing at any time. Price changes for subscriptions will be communicated in advance and will take effect at the next billing cycle.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by SomaLabs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

11. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, or error-free
  • The results from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMALABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability exceed the greater of (a) the amount you paid for the Service in the twelve months prior to the claim, or (b) one hundred US dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless SomaLabs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you create or share using the Service

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • Unused credits may be forfeited
  • We may delete your account data after a reasonable retention period

In accordance with the Digital Millennium Copyright Act (DMCA), we maintain a policy of terminating the accounts of users who are determined to be repeat infringers of copyrighted works. A single infringement may result in termination at our discretion.

Violations involving child sexual abuse material (CSAM) result in immediate permanent account termination, mandatory reporting to NCMEC, and referral to law enforcement. No prior warning is provided for CSAM violations.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

16. Copyright and DMCA Policy

We respect the intellectual property rights of others. If you believe content on our platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA). Please see our DMCA Policy for full details on filing a notice, counter-notification procedures, and our designated agent.

17. Non-Consensual Intimate Imagery (TAKE IT DOWN Act)

In compliance with the federal TAKE IT DOWN Act, we maintain a notice-and-removal process for non-consensual intimate imagery (NCII), including AI-generated content. If you are depicted in intimate content on our platform without your consent, you may submit a takedown request. We will remove such content within 48 hours of receiving a valid notice.

18. AI-Generated Content Disclosure

All content created through our Service is generated by artificial intelligence. You acknowledge that AI-generated content may be subject to disclosure requirements under applicable law. When you publish AI-generated content from our Service, you are responsible for complying with any applicable disclosure or labeling requirements in your jurisdiction.

We embed metadata in generated content (EXIF data) identifying it as AI-generated, including the generating platform name and timestamp, as required by the EU AI Act (Article 50) and other applicable regulations.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in courts of competent jurisdiction.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
